These terms and conditions ("Agreement") apply to your purchase of computer systems and/or related products and/or parts and/or services and support sold in the United States ("Product") by the Enterprise Technology provided to you. By accepting delivery of the Product, you accept and are bound to the terms and conditions of this Agreement. If you do not wish to be bound by this Agreement, you must notify Enterprise Technology immediately and return your purchase pursuant to Enterprise Technology’s Return Policy. If returned, Product(s) must remain in the boxes in which they were shipped. THIS AGREEMENT SHALL APPLY UNLESS (I) YOU HAVE A SEPARATE PURCHASE AGREEMENT WITH ENTERPRISE TECHNOLOGY, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (II) OTHER ENTERPRISE TECHNOLOGY TERMS AND CONDITIONS APPLY TO THE TRANSACTION.
Other Documents. This Agreement may NOT be altered, supplemented, or amended by the use of any other document(s) unless otherwise agreed to in a written agreement signed by both you and Enterprise Technology. If you do not receive an invoice or acknowledgement in the mail, via e-mail, or with your Product, information about your purchase may be obtained at by contacting your sales representative.
Payment Terms; Orders; Quotes. Terms of payment are within 's sole discretion, and unless otherwise agreed to by Enterprise Technology, payment must be received by Enterprise Technology prior to Enterprise Technology 's acceptance of an order. Your order is subject to cancellation by Enterprise Technology, at Enterprise Technology's sole discretion. Enterprise Technology is not responsible for pricing, typographical, or other errors, in any offer by Enterprise Technology and reserves the right to cancel any orders resulting from such errors.
Warranty. All parts sold by Enterprise Technology are covered by a 90-Day product replacement warranty. While some products are new, all products are sold as used/refurbished. Please note: Enterprise Technology does not provide any technical support. Enterprise Technology does not guarantee any product compatibility. Enterprise Technology takes no responsibility for the installation of the product and incorrect operation of your system. We will not be liable for any system, component, or peripheral including, but not limited to, mechanical or electronic damage, lost time, lost wage, lost revenue, or any other damage arising out of the use of, or inability to use our products.
Return Policy. Prior to returning any material, customer should obtain an RMA number from Enterprise Technology. When requesting RMA #, customer must match the serial number of the product being returned and the one sent along the original invoice (by Email). If the product is returned within 14 days, from the day product was shipped, due to ordering of the wrong part, DOA or part no longer needed, there will be No Restocking fee on the return. Note: shipping & Paypal charges are not refundable. All other non-needed Parts requested to be returned for credit within (30) calendar days of the original shipment date, will be charged a $25.00 min per unit or a 25% restock fee, whichever is greater. Shipping & Paypal charges are not refundable. Customer is responsible for cost of shipping the item back to Enterprise Technology. Enterprise Technology will not accept products for return that have been physically damaged, burned, abused, misused, neglected, repaired or modified. If a requested product is not available, Enterprise Technology reserves the rights to credit according to the current market value, which will not be in excess of the paid price of the product. Enterprise Technology reserves a right to make a decision based on test results, whether to send a replacement, or process the refund. RMA number is good for 15 days. All returns must be received by our RMA Department before the last day of the expiration of the warranty. Customer should always place an RMA number outside of the shipping box before returning it. Enterprise Technology will only ship replacement product before receiving the RMA product if the customer agrees to pay for the replacement product. Upon receipt of the RMA product, the customer will be credited for the cross-shipment. Shipping of the product back to us in proper packaging is totally on customer's responsibility. Product being returned in an envelope or with insufficient packaging will be refused and the warranty will be voided. Please make sure the product is not moving around freely in the box and is securely surrounded by packaging material. Please use a carrier with a tracking capability so that a proof of delivery would be available if the package is lost. In case the package sent back to us is lost or damaged, the shipper (sender) needs to file the claim with the carrier in order to recover the funds. We will not carry any responsibility for the package and its contents in this case. Warranty period begins on the shipped date. Any incorrect or missing item in the shipment, or a damaged package received by Purchaser must be reported to our customer service within two business days from the date of receiving the products. Damaged products due to mishandling of carrier are not covered by our 90-Day warranty. Such claims (missing components, damage claims, outright shortage, etc.) must be made within 10 days of invoice date. After carrier processes the claim and we receive the documentation confirming that the claim is not denied, we can proceed with the refund or sending a replacement (carrier may request a damage evaluation of the original package in order to proceed with the claim). Purchaser can check the status of the claim by calling either to the carrier and providing the tracking number (can be obtained from our web-site) or to Enterprise Technology Incorporation customer service.
Shipping Charges; Taxes; Title; Risk of Loss. Shipping and handling are additional unless otherwise expressly indicated at the time of sale. Title to products passes from Enterprise Technology to Customer on shipment from Enterprise Technology's facility. Loss or damage that occurs during shipping by a carrier selected by you is your responsibility.
By law, sales tax must be charged to any ordering party, in the state of California, who does not have a California Reseller Tax Certificate on file with Enterprise Technology. The rate, which will be charged, is 7.25%. Sales tax will be calculated and added to the total order when a Reseller Certificate is not on file. Order Cancellation Policy: Once an order has been submitted to the Warehouse, it may not be possible for that order to be canceled or diverted prior to shipment. Enterprise Technology will make a "best efforts" attempt to cancel, stop, or divert a submitted order. Enterprise Technology assumes no liability for orders, which ship based upon a customer's submitted request, and returns will be subject to normal restocking fees.Pricing Policy: Parts prices are subject to changes from time-to-time as market conditions fluctuate. All quoted prices are good for same day.
ApplicableLaw; Not For Resale or Export. You agree to comply with all applicable laws and regulations of the various states and of the United States. You agree and represent that you are buying only for your own internal use only, and not for resale or export.
Governing Law. THE PARTIES AGREE THAT THIS AGREEMENT, ANY SALES THERE UNDER, OR ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PREEXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, COMMON LAW, AND EQUITABLE CLAIMS) BETWEEN CUSTOMER AND ENTERPRISE TECHNOLOGY arising from or relating to this agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this agreement, Enterprise Technology's advertising, or any related purchase SHALL, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO CONFLICTS OF LAWS RULES.
Binding Arbitration. ANY CLAIM, DISPUTE, OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PREEXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, COMMON LAW, INTENTIONAL TORT AND EQUITABLE CLAIMS) BETWEEN CUSTOMER AND ENTERPRISE TECHNOLOGY, its agents, employees, principals, successors, assigns, affiliates arising from or relating to this Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this Agreement), Enterprise Technology's advertising, or any related purchase SHALL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION ADMINISTERED BY THE NATIONAL ARBITRATION FORUM (NAF) under its Code of Procedure then in effect . The arbitration will be limited solely to the dispute or controversy between customer and Enterprise Technology. Each party shall pay for its own costs and attorneys' fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys' fees, or if there is a written agreement providing for fees, the Arbitrator may award reasonable fees to the prevailing party, under the standards for fee shifting provided by law.
